By installing or using Node Neo, you accept these Terms.

By downloading, installing, accessing, or using the App, you agree to these Terms and to our Privacy Policy (https://nodeneo.ai/privacy.html). If you do not agree, do not install or use the App. If you already installed it, uninstall it to end this agreement (subject to surviving sections below).

You must be able to form a binding contract under applicable law. If you use the App on behalf of an organization, you represent that you have authority to bind that organization.

A proprietary client for the open-source Morpheus network.

2.1 Proprietary client

Node Neo is a consumer client for the Morpheus decentralized AI network. The Node Neo client — including its presentation layer, local user experience, ABSGrafx-authored application code, branding, and compiled binaries we distribute — is proprietary software of ABSGrafx LLC.

2.2 Embedded open-source engine (attribution)

The App embeds or links an open-source Morpheus / Lumerin proxy-router / network engine and may include other open-source libraries. Those components remain under their own licenses and are attributed in THIRD_PARTY_NOTICES (this site and/or bundled with the Software). You may exercise rights under those third-party licenses only as to the corresponding third-party components.

The Morpheus protocol / network is an open-source decentralized AI network operated by the broader community. That is separate from the proprietary Node Neo client.

2.3 Honest architecture

• Client role: presentation and local UX on your device (wallet UX, model pick, chat UI, local storage, optional local gateway features where offered).
• Inference path: conversations are between your device and Morpheus providers, carried over the Morpheus network (discoverable, open protocol — look up Morpheus for how that privacy model works). ABSGrafx is the publisher of the client, not a party in that chat path.
• No ABSGrafx account or chat inbox: there is no Node Neo account with us for ordinary self-custody use, and ABSGrafx does not receive your prompts or completions as a relay.
• Keys on device: private keys and related secrets are generated and stored on your device (platform secure storage). ABSGrafx cannot recover lost private keys and does not receive your prompts.

Third parties you choose (RPC endpoints, inference providers) may see what is necessary for their function — see Section 6 and the Privacy Policy.

Binary license for the proprietary client; Apple EULA applies to store builds.

3.1 Binary license

Subject to these Terms, ABSGrafx grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the compiled App on devices you own or control, for personal or internal business purposes.

You may not: copy or redistribute the App except as allowed by the platform that sold or delivered your copy; reverse engineer or derive source (except where prohibited from restricting by law); modify or create derivative works of the proprietary client; remove proprietary notices; or misuse trademarks (Section 16).

No license is granted to Node Neo client source code.

3.2 Apple Licensed Application EULA

If you obtain the App from the App Store or Mac App Store, your use is also subject to Apple’s Licensed Application End User License Agreement (the Standard EULA, unless ABSGrafx attaches a custom EULA). In a conflict limited to Apple’s requirements for the licensed application, Apple’s EULA controls to that extent; otherwise these Terms govern your relationship with ABSGrafx.

Apple is not a party to these Terms between you and ABSGrafx, except as required by Apple’s EULA (e.g., third-party beneficiary provisions Apple may require).

3.3 Website and documentation

Informational website pages and documentation are provided for convenience and do not expand the license grant above.

Pro is feature access via Apple; inference uses MOR you stake on-chain.

4.1 What Pro is

NodeNeo Pro (names and SKUs as shown in the App Store / in-app) is a paid subscription that unlocks feature access in the App (for example expanded catalog or power tools as described in-product). Pro is not a guarantee of any particular AI outcome, model availability, provider quality, uptime, token value, or on-chain result.

4.2 Apple is merchant of record

Purchases and renewals of NodeNeo Pro through Apple are processed by Apple. Apple is the merchant of record for those in-app purchases. Manage, cancel, or change subscriptions in Apple ID → Subscriptions (or the subscription management UI Apple provides on your platform).

Except for the Network Continuity process in Section 4.6, ABSGrafx does not promise refunds for NodeNeo Pro. If you cancel, uninstall, stop using the App, or are dissatisfied with features or providers, prepaid annual Pro time is generally not refundable through ABSGrafx. Any refund Apple may grant outside Section 4.6 is solely under Apple’s policies and discretion.

4.3 Pricing (informational)

Prices are as shown in the App Store and in-app at the time of purchase and may differ by platform, region, currency, and tax. Historical reference only (not a price lock): iOS has often been on the order of about $2.99 / month and $29.99 / year; Mac about $4.99 / month and $49.99 / year. Always rely on the live storefront price.

4.4 Inference is separate — stake MOR on-chain

Pro fees paid via Apple cover App feature access. Inference on the Morpheus network uses MOR you stake on-chain to open and run sessions under the protocol (providers are compensated per those on-chain session rules). That is not billed through Apple IAP. Holding a Pro subscription does not replace MOR staking / session economics or guarantee free inference.

4.5 Free tier

If you use the App without an active Pro subscription, you may still use available free features. Liability for free users is addressed in Section 10 ($0 under the locked formula when no Pro amounts were paid to Apple in the relevant period).

4.6 Network Continuity (Morpheus unavailability)

Node Neo’s value for inference depends on the Morpheus network and active providers, which ABSGrafx does not operate or control.

This Section 4.6 is the only refund commitment ABSGrafx makes for NodeNeo Pro. Dissatisfaction, uninstalling the App, canceling for convenience, feature complaints, temporary outages, or partial provider shortages do not entitle you to a refund of prepaid Pro (including annual) from ABSGrafx.

If ABSGrafx reasonably determines that the Morpheus network is sustained-unavailable for ordinary inference — including a sustained period with no usable active providers — then, within thirty (30) days of that determination, ABSGrafx will:

1. Stop offering new NodeNeo Pro purchases for the affected App storefronts where we can do so; and
2. Cancel auto-renewal of existing NodeNeo Pro subscriptions so that no further Pro charges are initiated after that cancellation takes effect under Apple’s systems; and
3. Notify affected users by reasonable means available to us (for example in-app notice and/or an update on https://nodeneo.ai/).

For annual NodeNeo Pro subscriptions with unused time remaining after that determination:

• Refunds are customer-initiated through Apple (Apple remains merchant of record). We will publish instructions (for example how to use Apple’s refund / Report a Problem flow, or an in-app refund request if offered).
• When Apple asks ABSGrafx for consumption information on such a request, we will recommend a prorated refund of unused subscription time (Apple calculates remaining time for auto-renewable subscriptions).
• Apple decides whether to grant a full refund, a prorated refund, or to decline. Timing and outcome follow Apple’s policies.

This Section 4.6 addresses further Pro billing and unused annual Pro time only when ordinary Morpheus inference is sustained-unavailable as described above. It does not create liability for MOR value, on-chain session outcomes, protocol changes, or temporary degradation. Other limitations in these Terms continue to apply.

You hold your keys. Treat your private key like a bank password.

Node Neo is a self-custodial wallet-capable client. Your private key material is generated and stored on your device and is not sent to ABSGrafx.

5.1 Treat your private key like a bank password

Your private key (and any recovery / backup material that can recreate it) controls access to your wallet and on-chain assets.

1. Always store it in a safe place you control. Back it up offline or with methods you trust. Treat it with at least the care you would give a bank password or the keys to a safe. If someone else gets the key, they can move funds; if you lose the only copy, you may lose access forever.
2. Never send your private key to anyone. Do not paste it into chat, email, support tickets, websites, “recovery” forms, or messages from people claiming to be ABSGrafx, Apple, Morpheus, or anyone else. ABSGrafx will never ask you for your private key. Anyone who does is not us.

5.2 Your responsibilities

You are solely responsible for:

• Creating and keeping a secure backup of your private key / recovery material (for example via in-app export or other methods you control);
• Protecting that backup from theft, loss, damage, and disclosure;
• Securing devices (passcode, biometrics, app lock as available);
• Verifying addresses and transaction details before signing — on-chain transactions are generally irreversible;
• Choosing RPC endpoints and inference providers you are willing to trust;
• Understanding that on-chain activity you broadcast is typically public and permanent.

Tools we provide (encrypted backups, biometric lock, migration helpers, first-launch guards, etc.) do not shift self-custody responsibility to ABSGrafx.

Conversations run device → Morpheus network → providers.

6.1 Where conversations go

For ordinary inference, the conversation is between your device and the Morpheus provider(s) you use, via the Morpheus network. That path is how the open Morpheus stack is designed: peer/provider exchange on a public protocol you can research and verify. ABSGrafx publishes the Node Neo client; we are not in the middle of that chat.

Wallet and session transactions you authorize still use a blockchain RPC you configure (or a default public endpoint) — separate from chat content.

6.2 Independent third parties

The App necessarily interacts with independent third parties, including:

• Public or configured Base (or other) RPC providers — to read chain state and broadcast transactions you authorize;
• Morpheus inference providers and protocol infrastructure — to open/close sessions and exchange prompts/completions with providers you select or that the protocol matches;
• Apple — for distribution, receipts, and subscription billing when you use IAP;
• Other services you explicitly enable (e.g., optional on-ramps, system share sheets, or local tools).

ABSGrafx is not responsible for the acts, omissions, availability, accuracy, legality, security, or content of third-party RPC operators, inference providers, models, protocol smart contracts, networks, or Apple. Those relationships are between you and the third party (and, for the protocol, the broader community / on-chain rules).

Provider and model outputs can be wrong, biased, fabricated, harmful, or unlawful. You are responsible for how you use them.

Lawful use only.

You may use the App only for lawful purposes. You agree not to use the App, or outputs obtained through it, to:

• Violate applicable law (including export controls and sanctions);
• Infringe intellectual property or other rights;
• Create or distribute sexual content involving minors, or otherwise exploit children;
• Harass, threaten, or defame individuals;
• Commit fraud, money laundering, or terrorist financing;
• Attempt to attack, disrupt, or circumvent security of the App, providers, or networks, except security research conducted lawfully and in good faith without harm;
• Misrepresent yourself as ABSGrafx or as another party in connection with the App;
• Resell or misappropriate the proprietary client in violation of Section 3.

Additional restrictions may apply to particular models or providers; you must comply with those when you use them.

Informational software — not investment, legal, or medical advice.

The App is software for accessing a decentralized inference network. It is not a financial services provider, broker-dealer, money transmitter, investment adviser, law firm, or medical practice.

UI information (balances, model lists, pricing estimates, session status), website content, and AI-generated output are for informational purposes only and are not investment, legal, tax, accounting, or medical advice. AI output can be wrong. Verify before you rely on it. Consult qualified professionals when you need advice.

Provided AS IS and AS AVAILABLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE APP, WEBSITE, AND ALL ASSOCIATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ABSGRAFX LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant third-party services (RPC, Morpheus protocol, providers, models, Apple), the value or utility of MOR or any token, or continued on-chain economic conditions.

Cap: Pro amounts paid to Apple in the prior 12 months ($0 if free).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

10.1 Consequential damages waiver

IN NO EVENT WILL ABSGRAFX LLC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE APP OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap — locked formula

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO APPLE FOR NODENEO PRO SUBSCRIPTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

If you are a free user with no NodeNeo Pro subscription payments to Apple in that period, that amount is USD $0.

10.3 Excluded categories (non-exhaustive)

Without limiting the above, ABSGrafx is not liable for: loss or theft of private keys; irreversible blockchain transactions; fluctuation or loss of value of MOR, ETH, or any cryptoasset; prompt or response content; AI output or misuse of AI output; acts or omissions of third-party providers or RPC operators; protocol, smart-contract, or network failures; or Apple billing outcomes beyond the liability cap tied to Pro amounts paid to Apple as stated above.

10.4 Jurisdictional limits

Some jurisdictions do not allow certain exclusions. In those jurisdictions, our liability is limited to the smallest extent permitted by law. The cap in Section 10.2 is an essential basis of the bargain.

You indemnify ABSGrafx for your use of the App.

You agree to indemnify, defend, and hold harmless ABSGrafx LLC and its affiliates, officers, employees, and contractors from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of law or third-party rights (including providers and networks you use); or (d) content, prompts, or outputs you submit, generate, transmit, or distribute using the App.

Uninstall to stop; cancel Apple subscriptions with Apple.

You may terminate at any time by uninstalling the App and stopping use. There is no ABSGrafx “account” to cancel for self-custodial use. Apple subscriptions must be cancelled with Apple as described in Section 4.

We may stop distributing or updating the App at any time. We generally cannot remotely wipe a binary already on your device; discontinued distribution does not remove your local install until you uninstall.

Sections that by nature should survive (including self-custody acknowledgements, third-party disclaimers, AS IS, limitation of liability, indemnity, governing law, and trademarks) survive termination.

We may update these Terms; continued use is acceptance.

We may update these Terms to reflect product, legal, or business changes. The “Last updated” date will change accordingly. Material changes will be called out in release notes or an in-App notice where practical. Continued use after an update constitutes acceptance. If you do not agree, stop using the App and uninstall.

We will publish updated Terms at https://nodeneo.ai/terms.html before relying on them for newly shipped builds when the change is material.

South Dakota law; individual capacity only.

These Terms are governed by the laws of the State of South Dakota, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the state or federal courts located in South Dakota, and you consent to personal jurisdiction there.

You agree to bring disputes only in your individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding, to the maximum extent permitted by law.

Node Neo, related logos/wordmarks, and ABSGrafx are trademarks or trade names of ABSGrafx LLC. No trademark rights are granted except limited factual reference to the product name. Morpheus, MOR, and other third-party marks belong to their owners.

If any provision of these Terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the Privacy Policy, the proprietary LICENSE, THIRD_PARTY_NOTICES, and (where applicable) Apple’s EULA are the entire agreement between you and ABSGrafx regarding the App, superseding prior conflicting consumer terms for the App.
